Total Voting Rights


In conformity with the Transparency Directive's transitional provision 6, we would like to notify the market of the following:

As at 28 December 2006, the issued share capital and voting rights of Empire Online Ltd are as follows:

Empire Online Ltd's share capital consists of 292,777,772 shares of 175p each ("Ordinary Shares") with voting rights (one vote per Ordinary Share). No Ordinary Shares are held in treasury. Therefore the total number of Ordinary Shares with voting rights is 292,777,772.

The above total voting rights figure may be used by shareholders as the denominator for the calculations by which they will determine whether they are required to notify their interests in, or a change to their interest in, Empire Online Ltd under the FSA's Disclosure and Transparency Rules.
